Job Description
As a member of the Transaction Services practice, you will help clients navigate through complicated transactions and events, from evaluation through integration, in a multifaceted business environment. PwC helps clients negotiate with confidence. Some of the world's most prestigious companies rely on our buy-and-sell side due diligence capabilities and turn to us for advice on financial reporting, valuation and tax issues. We also provide advice and project management for capital raising events such as initial public offerings, secondary listings and private placements. For companies in distressed situations, we advise on crisis avoidance, financial and operational restructuring and bankruptcy.

Clients rely on PwC to help them make informed and empowered decisions to invest, divest, raise capital or reorganize. As our clients execute on their chosen strategy, our focus turns to helping them extract value.

We advise our clients, primarily Fortune 500 public companies and large financial institutions such as private equity firms, on the value of businesses, assets, derivatives and other securities for a variety of purposes including mergers and acquisitions, financing transactions and strategic planning. We consult with our clients to understand their business issues and advise them on the impact of potential transactions and strategic initiatives on their business. We also work with other groups in PwC's Transaction Services and other lines of service to deliver broad business advice to our clients.

We provide robust value opinions to support compliance and regulatory requirements regarding:
-Purchase price allocations
-Tax valuations
-Business and equity valuations
-Impairment tests
-Option and financial instruments valuations
-Litigation valuations

We additionally offer value advice and analysis to enhance deal value and provide decision support, including:
-Pre-deal business valuation
-Forecast analysis and value driver identification
-Synergy analysis
-Cost of capital analysis
-Strategic and real options valuation

Situated in the Strategic Value Consulting practice, The Modeling Center of Excellence provides premium quality financial model building and review services to clients in both the deal and non-deal spaces.

The team specializes in the application of best practice modeling methods and processes, and works closely with senior client personnel to assist with analyzing major corporate decisions using carefully developed and reviewed financial models.

Position/Program Requirements
Minimum Year(s) of Experience: 7


Minimum Degree Required: Bachelor's degree in Finance


Certification(s) Preferred: CFA


Knowledge Preferred:

Demonstrates thought leader-level knowledge as a team leader, emphasizing the following areas:

- Utilizing and applying key valuation methodologies for business entities and intangible assets, including Income, Market, and Asset/Cost approaches;

- Understanding of accounting, corporate finance, valuation, economics, tax and business reporting processes;

- Conducting in-depth client, industry, and market research;

- Demonstrating commercial/business acumen and industry experience;

- Collaborating with team members and working in a dynamic environment; and,

- Analyzing and challenging business/model assumptions.


Skills Preferred:

Demonstrates thought leader-level abilities with, and/or a proven record of success, preferably within a global network of professional services consulting firms, directing efforts in the following areas:



- Applies intimate know-how of financial reporting standards, proactively identifying and articulating emerging technical issues;

- Models project management methodology
disciplining, scoping, planning, and overseeing complex engagements/projects;

- Effectively applies project management skills to maximize the effectiveness of the project, managing and prioritizing issues based on materiality and risk. Ability to manage large engagement teams, project portfolios and client accounts;

- Operates at the forefront of emerging industry developments, technology trends and business issues, especially the impact these trends have on the global value chain for clients;

- Integrates innovative concepts and solutions into the scope of new work;

- Anticipates the impact and implications of decisions on other components of an organization;

- Translates highly complex problems into components and actionable research objectives;

- Models awareness of how to adapt individual working styles to lead effectively a multi-cultural team;
